
ReplyPoints Terms of Service

Welcome to ReplyPoints, a service provided by ReplyCorp (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our software-as-a-service platform, ReplyPoints (the “Service”), accessible via our website and supported integrations. By accessing or using the Service, you agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Overview of the Service
ReplyPoints enables social media accounts to track, reward, and analyze engagement through a customizable points system across major social media platforms. Key features include:

Automatic points distribution to users who engage with your content (likes, comments, shares, etc.)
•
Historical data ingestion (up to the most recent 10,000 posts) to retroactively assign points
•
Customizable point systems per account or across networks of accounts
•
Randomized rewards system weighted by points
•
Cross-platform support and networked accounts functionality
Points generated through ReplyPoints have no intrinsic monetary value, are non-transferable, and are intended solely as a means of engagement tracking and community recognition. ReplyPoints are not a form of currency, store of value, or financial instrument. They cannot be exchanged for cash or any other form of consideration and should not be treated as having monetary or investment value.
ReplyPoints are not tied to any token, crypto asset, or blockchain-based system and have no tradable or market value.
2. Eligibility
To use ReplyPoints, you must:

Be at least 18 years old or the age of majority in your jurisdiction
•
Have authority to manage the social media accounts you connect
•
Provide accurate, current, and complete information during registration
You may not use the Service if you are a competitor of ReplyCorp or are using the Service for purposes that compete with our business.
3. Account Registration & Management
To use ReplyPoints, you must register a primary account and authorize access to relevant social media platforms through our supported integrations (e.g., via API).
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or suspected breach. You are solely responsible for securing access credentials and managing access to connected third-party accounts.
4. Data & Integrations
By using ReplyPoints, you grant us permission to:

Access engagement metrics and historical post data from authorized social media accounts
•
Process and store interaction data to calculate points
•
Provide aggregated analytics and engagement summaries
We do not collect or store credentials for third-party platforms. All data access is performed through secure, tokenized APIs and governed by the terms of those platforms.
Data Ownership Notice
You acknowledge that the engagement data accessed through the Service (e.g., likes, shares, comments) is publicly available content from third-party platforms. Such content is not considered proprietary to you or ReplyCorp and is subject to the ownership and licensing terms of each respective platform.
GDPR Compliance
If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, the processing of your personal data is subject to the General Data Protection Regulation (EU) 2016/679 (“GDPR”) or its equivalent in your jurisdiction.
For clarity, “personal data” refers only to the information you provide directly to ReplyCorp (such as your name, email, and billing information) or that is generated through your use of the Service in a personally identifiable way (such as login activity). It does not include engagement data collected from third-party social media platforms, which is considered public data governed by the terms of those platforms and is not considered proprietary or personal data under this policy.
Under GDPR, you have the right to:

Access, correct, export, or delete your personal data at any time
•
Object to our processing of your personal data or request that we restrict certain uses
•
File a complaint with your local supervisory authority if you believe your personal data has been processed unlawfully
ReplyCorp acts as a data controller for user account information and a data processor for public engagement data processed via platform integrations. All data is stored in secure environments and handled in accordance with applicable laws.

5. Subscription, Fees, & Billing
ReplyPoints may offer both free and paid plans. Features available to you depend on your subscription tier, as detailed on our pricing page.

Billing: Subscriptions are billed in advance on a monthly or annual basis and are non-refundable.
•
Auto-Renewal: Your subscription will automatically renew unless canceled before the end of the current billing cycle.
•
Cancellation: You may cancel your subscription at any time through your account settings.
•
Currency and Refunds: All fees are in U.S. dollars unless otherwise noted. We do not offer refunds for unused subscription time unless required by law.
We may update pricing or subscription terms with 30 days’ notice via email or platform notification.
6. User Conduct & Acceptable Use
You agree not to:

Use the Service in violation of any applicable law or regulation
•
Create or distribute fake engagement to manipulate points
•
Misrepresent the nature or value of the points to end-users
•
Attempt to reverse-engineer, disrupt, or overload the platform
•
Use ReplyPoints to harass, abuse, or exploit users or followers
•
Use the Service in a way that violates the terms of service, community guidelines, or policies of any third-party platform you connect to or interact with (e.g., Twitter/X, Instagram, YouTube, TikTok)
We reserve the right to determine, in our sole discretion, what constitutes a violation of these guidelines, and to suspend or terminate accounts accordingly.
7. Intellectual Property
All content, features, and functionality of the Service (excluding user content) are the exclusive property of ReplyCorp and are protected by intellectual property laws.
You retain ownership of your original content and branding. However, by using the Service, you grant ReplyCorp a non-exclusive, royalty-free license to display and process your content as needed to provide the Service.
8. Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information in accordance with GDPR, CPRA, and other applicable data privacy laws.
We implement technical and organizational safeguards to protect your personal data, including encryption, access controls, and secure hosting infrastructure.
9. Third-Party Platforms
ReplyPoints relies on integrations with third-party platforms (e.g., Twitter/X, Instagram, YouTube, TikTok). You acknowledge that:

Your use of those platforms remains governed by their respective terms of service and privacy policies
•
ReplyCorp is not responsible for service disruptions or limitations imposed by those platforms
•
If access is revoked, restricted, or deprecated by a third-party platform, certain features of the Service may cease to function
10. Beta and Experimental Features
Some features of the Service may be released as experimental, beta, or preview features. Such features are provided “as is” and may be modified or removed at any time.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or always function as expected.
We implement reasonable and appropriate safeguards to protect the Service, but we cannot guarantee that unauthorized access, cyberattacks, or service interruptions will never occur.
12. Limitation of Liability
To the maximum extent permitted by law, ReplyCorp shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of the Service.
In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. We may delete your data from our servers, subject to any legal obligations to retain certain information. We may retain user data for up to 30 days following termination to fulfill legal obligations or enable account reactivation, unless otherwise required by law.
14. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we’ll notify you via email or the platform. Continued use of the Service after such changes constitutes your agreement to the revised Terms.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms shall be resolved through binding arbitration or small claims court in that jurisdiction.
If you are using the Service on behalf of a business or organization, you agree that any disputes will be resolved exclusively in the courts or through arbitration in the State of Wyoming, and that you are not entitled to the consumer protections provided under EEA or UK law.
If you are a consumer residing in the EEA, you may also have access to alternative dispute resolution under your local consumer protection laws.
